Terms of Service

1. Acceptance

By creating an account or using Voting Machine, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the service. We may update these Terms from time to time; material changes will be surfaced in-app and you may be asked to re-accept.

2. What Voting Machine is — and what it is not

Voting Machine is a skill-based prediction platform. Users express and refine opinions on real-world events by buying and selling predictive positions priced by an automated market maker (LMSR), using an in-app virtual currency we call credits, coins, or votes.

Voting Machine is not:

• a gambling service, lottery, betting exchange, or wager;
• a registered security, futures, derivatives, or swaps market;
• a regulated financial institution, broker, dealer, or adviser;
• a payment or money-transmission service.

Credits have no cash value and are not redeemable for cash. Market payouts, creator rev-share, and gift-card redemptions are all denominated in credits (or a loyalty gift card voucher in the case of redemption).

3. Eligibility

• You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
• You must provide accurate date-of-birth and country-of-residence information during onboarding.
• You must not be a resident of a jurisdiction where this kind of skill-based prediction contest is prohibited. You are responsible for knowing your local law.
• One account per natural person. Automated, proxy, sybil, or headless activity is prohibited.
• You must not be on any sanctions list (e.g., OFAC, Canadian SEMA lists) or otherwise legally barred from using our services.

4. Accounts and security

• You are responsible for all activity on your account and for keeping your password confidential.
• You must not share, sell, or transfer your account.
• We may suspend or terminate an account for violation of these Terms, including fraud, market manipulation, or abusive behavior. On termination, unredeemed credits are forfeited.
• You can delete your account at any time from Settings → Account.

5. Credits

Credits are a closed-loop virtual currency issued by the Company. They can be:

• earned through gameplay, activity bonuses, streaks, referrals, and market payouts;
• purchased via our Stripe-powered top-up at the then-current rates;
• redeemed for loyalty gift-card rewards subject to our rebate program terms and inventory.

Credits are not property and confer no ownership interest in the Company. They cannot be converted into cash, cryptocurrency, or other instruments of value. Credits may expire after an extended period of account dormancy, which we will announce with reasonable notice.

6. Prediction markets

• Every market is priced by a Logarithmic Market Scoring Rule (LMSR) seeded with a fixed liquidity parameter. Prices move as positions are bought and sold.
• Resolution uses automated sources (news APIs, official data feeds, web search, AI review) combined with human oversight. Resolution criteria and data sources are surfaced on each market page.
• A market may be cancelled if resolution is infeasible, ambiguous, or if the question is materially misstated. Cancelled markets refund positions at cost.
• We may adjust prices, positions, or resolutions to correct clear errors, including oracle failures or manipulation; we will communicate any adjustment.

7. Paid Rooms (skill contests)

Paid Rooms are creator-hosted prediction competitions. Members pay an entry fee denominated in credits that is pooled and distributed at the competition's end date according to members' forecasting performance inside the room.

Distribution (default): 75% of the pool to top predictors per the room's split mode (Winner Takes All, Top 3, or Top 5); 15% to the room creator as a rev-share; 10% platform fee to Lysensy Inc.

Entry fees are non-refundable once paid, except:

• the creator cancels the room before distribution — all entrants are refunded at cost; or
• the room distributes no credits at end date (zero qualifying activity) — at our discretion.

The creator of a Paid Room is responsible for the room's conduct and for any local-law compliance specific to their community. Lysensy Inc. provides the platform, not the community.

8. Rewards redemption (loyalty rebate)

We offer a loyalty rebate program under which credits earned through gameplay can be redeemed for gift cards supplied by our fulfillment partners. Redemption is:

• subject to availability, inventory, and per-user or country restrictions on each item;
• typically fulfilled within 24 hours by email, and in no case later than 14 days;
• irrevocable once a gift-card code has been delivered;
• refundable if fulfillment is blocked (out-of-stock, vendor error) — credits are returned automatically.

Redemption is not a sale, exchange, or transfer of value. Credits are consumed in exchange for a delivered gift card.

9. Real-money purchases (Stripe)

Credit top-ups are processed by Stripe. Your payment data is handled by Stripe under their terms; we do not store card numbers. Purchases are generally final. See our Refund Policy for the narrow exceptions (billing error, unauthorized charge).

10. Prohibited behavior

• Manipulation of market outcomes, collusion, or wash-trading.
• Multi-accounting, sybil farming, bot usage, or referral fraud.
• Scraping, reverse-engineering, or interfering with our APIs or infrastructure.
• Uploading illegal, hateful, or harmful content or creating markets on prohibited topics (e.g., individual harm, self-harm, CSAM).
• Circumventing geographic, age, or other eligibility restrictions.

11. User content

Comments, room descriptions, market suggestions, and other content you post are your own. You grant Lysensy Inc. a worldwide, non-exclusive, royalty-free license to host, display, and promote that content in connection with the service. We may remove content that violates these Terms without notice.

12. Intellectual property

The Voting Machine name, logo, mark, site, code, APIs, and interfaces are the property of Lysensy Inc. You may not copy, modify, or redistribute them without written permission.

13. Disclaimers

The service is provided "AS IS" and "AS AVAILABLE". We do not warrant uptime, accuracy of market data, correctness of resolution, or any particular outcome. You are solely responsible for your predictions.

14. Limitation of liability

To the fullest extent allowed by applicable law, Lysensy Inc. and its directors, officers, employees, and affiliates are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the service. Our aggregate liability for direct damages is limited to the amount you paid us in the 12 months before the claim, or CAD $100, whichever is greater.

15. Indemnity

You agree to indemnify and hold Lysensy Inc. harmless from any claim or demand arising out of your violation of these Terms or your misuse of the service.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts of Ontario, Canada, unless mandatory consumer-protection law in your residence applies otherwise.

17. Termination

Either party may terminate the relationship at any time. We may suspend or terminate accounts for violations of these Terms. Sections 5, 10, 12, 13, 14, 15, 16, and 17 survive termination.
